By accessing or using Maiekr ("the Service"), operated by Skyie Global Technologies Ltd, trading as Maiekr ("we", "us", or "our"), a company registered in England and Wales with registered address at Kings Hill, West Malling, Kent, England (Company No. [COMPANY_NUMBER]), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

2. Eligibility

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Use a strong, unique password and keep it confidential.
- Enable multi-factor authentication where available.
- Notify us immediately if you suspect unauthorised access to your account.
- Provide accurate and up-to-date information in your profile.
We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or pose a security risk.
4. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

- Attempt to gain unauthorised access to any part of the Service, other accounts, or systems.

- Upload malicious code, viruses, or any software intended to disrupt the Service.
- Impersonate any person or entity, or misrepresent your affiliation.
5. Content Ownership and Licence
5.1 Your content
You retain all ownership rights to the content you create using the Service, including presentations, slides, text, and images ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide licence to host, store, display, and transmit Your Content solely to provide and improve the Service.
This licence terminates when you delete Your Content or your account, except where retention is required for legal compliance or as described in our Privacy Policy.
5.2 AI-generated content
Content generated by Maiekr's AI features is provided for your use. You own the output you create using our AI tools, subject to the following:
- AI-generated content is provided "as is" without guarantees of accuracy, originality, or fitness for a particular purpose.
- You are responsible for reviewing and verifying AI-generated content before use.
- Other users may receive similar or identical AI-generated output for similar prompts.
5.3 Our intellectual property
The Service, including its design, code, brand, logos, and documentation, is owned by Maiekr and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, branding, or proprietary technology except as explicitly stated.
6. Subscriptions and Billing
6.1 Free plan
The free plan provides limited access to the Service at no charge. Feature limits are described on our pricing page. We reserve the right to modify free plan limits with reasonable notice.
6.2 Paid plans
Paid plans are billed on a recurring basis (monthly or annually) as indicated at the time of purchase. By subscribing, you authorise us to charge your payment method at the start of each billing cycle.
- All prices are in British Pounds Sterling (GBP) unless otherwise stated. VAT may apply for UK customers.
- Taxes may apply depending on your jurisdiction and are your responsibility.
- Subscription changes (upgrades or downgrades) take effect at the start of the next billing cycle unless otherwise specified.
6.3 Cancellation and refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then. We do not provide refunds for partial billing periods, except as required by applicable law.
7. Service Availability
We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
- We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- In no event shall Maiekr be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities.
- Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or fifty pounds sterling (GBP 50), whichever is greater.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Indemnification
You agree to indemnify and hold harmless Maiekr, its officers, directors, and employees from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any third-party rights, or (d) any content you create or share using the Service.
10. Termination
You may terminate your account at any time by deleting it through your account settings. We may suspend or terminate your account if:
- You breach these Terms or our acceptable use policy.
- Your account has been inactive for more than 12 months.
- We are required to do so by law or to protect the safety of our users.
- We cease operating the Service (with reasonable notice).
Upon termination, your right to use the Service ceases immediately. Data deletion follows the schedule described in our Privacy Policy.
11. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@maiekr.com. We will endeavour to resolve your concern within 30 days.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree, you may close your account before the changes take effect.
13. General Provisions
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Entire agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Maiekr.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to a successor entity.
